Indemnification and Hold Harmless Clauses for Contracts and Agreements

The following is an example of an indemnification and hold harmless clause for contracts and agreements:

(Name of Contractor/Service Provider) at it’s own expense, agrees to protect, indemnify, pay on behalf of, defend and hold harmless the (Name of the City), its elected and appointed officials, employees and volunteers and their agents from all claims, demands, judgments, expenses, and all other damages of every kind and nature, made, rendered, or incurred by or in behalf of any person or persons whomsoever, including the parties hereto and their employees, which may arise out of any act or failure to act, work or other aactivity related in any way to this project under this contract, by the Contractor, Contractor’s agents, employees, subcontractors or supplies in the performance and execution of this contract.”
